Terms of Service

1. Who we are and what these terms cover
These Terms of Service (the "Terms") govern access to and use of the ScrapeFleet platform, website, APIs, browser extension and related services (together, the "Service"), operated by CPL TECH MB, a company established under the laws of the Republic of Lithuania, company code 306621764, registered office at Olimpiečių g. 3E-R80, LT-09235 Vilnius, Lithuania ("ScrapeFleet", "we", "us"). By creating an account, purchasing a subscription, or using the Service in any way, you ("Customer", "you") agree to these Terms, the Acceptable Use Policy, and — where personal data is processed through the Service — the Data Processing Agreement, all of which form part of the agreement between you and ScrapeFleet.
The Service is intended for business use. By registering you confirm that you are acting in the course of a trade, business, craft or profession and not as a consumer.
2. The Service
ScrapeFleet converts publicly accessible websites into structured data APIs. The Service includes: automated analysis of web pages and construction of extraction configurations ("Scrapers"), scheduled and on-demand execution of Scrapers, a visual designer for reviewing and adjusting extraction fields, a library of pre-built Scrapers, and delivery of extracted data through the dashboard, files and APIs.
Building and maintaining Scrapers is partly performed by machine-learning models. Extraction configurations are verified automatically where possible, but automated verification is not a guarantee of fitness for a particular purpose (see Section 9).
The Service may be offered in beta, trial or early-access form. Beta features are provided as-is, may change or be withdrawn without notice, and may be subject to additional restrictions communicated at the time.
3. Accounts
You must provide accurate registration information and keep it current. You are responsible for all activity under your account, including activity by your employees, contractors, and anyone whose access results from your failure to secure your credentials. Notify us without delay at team@scrapefleet.ai of any suspected unauthorised use.
Creating multiple accounts to obtain repeated free allotments, to circumvent plan limits or quotas, or to evade a suspension is a material breach of these Terms.
4. Credits, plans and payment
Use of the Service is metered in credits. Each plan includes a monthly credit allotment as described on the pricing page. Unless stated otherwise: credits reset with each billing cycle and unused credits do not carry over; credit consumption rates per operation are shown in the Service and may be adjusted prospectively; usage above the included allotment is not currently offered ("overage" billing is not available) — when your balance is exhausted, metered operations pause until the next cycle or an upgrade.
Paid subscriptions are billed monthly in advance through our payment provider. Card and payment details are collected and processed by the payment provider on its own hosted pages; we do not store card numbers. Prices are exclusive of any applicable taxes, which are your responsibility.
Except where required by mandatory law, fees are non-refundable and unused credits are not redeemable for money. You may cancel at any time with effect from the end of the current billing period.
We may suspend the Service for accounts with payment arrears after 14 days' notice, and immediately in case of chargeback abuse or suspected payment fraud.
5. Your responsibilities for scraping targets
This section states the core allocation of responsibility in the agreement — read it carefully.
You alone decide which websites and pages the Service accesses on your behalf, and you alone are responsible for the lawfulness of that access and of the further use of extracted data.
Before configuring or running a Scraper you must satisfy yourself that:
- accessing and extracting data from the target website is lawful in the relevant jurisdictions, and consistent with the target website's terms of use where those are binding on you;
- you hold all rights, consents, licences and legal bases required for the collection and your intended use of the extracted data, including under data protection law where the data includes personal data (see the Data Processing Agreement) and under intellectual property law where the data includes protected content;
- your use complies with the Acceptable Use Policy, including its restrictions on non-public data and sensitive categories of data.
ScrapeFleet does not review, approve or warrant the lawfulness of any target or use case, and nothing in the Service (including the presence of a pre-built Scraper for a given website) constitutes a representation that scraping that website is lawful for your purposes. If you are in doubt, obtain independent legal advice before proceeding.
6. Acceptable use and enforcement
The Acceptable Use Policy forms part of these Terms. We may suspend or terminate the Service immediately and without prior notice where we reasonably believe your use breaches the Acceptable Use Policy, infringes third-party rights, creates a security or legal risk for us, other customers or third parties, or where suspension is required by law or by a competent authority. No credits are refunded for interruptions caused by your violation.
7. Intellectual property
We and our licensors own all rights in the Service, including its software, models, extraction technology, generated Scraper configurations' underlying formats, the website, and our trademarks. You receive a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes for the duration of your subscription.
As between you and us, you own the data extracted at your direction ("Output Data") and the specific Scraper configurations you create or customise, to the extent of your contribution. You are solely responsible for Output Data, including keeping copies: the Service is not an archival product and retention periods apply.
We may use aggregated and anonymised usage information — which does not identify you, your configurations' targets, or any individual — to operate, secure and improve the Service.
8. Third-party components
The Service relies on third-party infrastructure and services (hosting, fetching infrastructure, machine-learning model providers, payment processing). Their availability affects the Service. Subprocessors involved in processing personal data are listed in the Data Processing Agreement.
9. Availability, warranties, disclaimers
We aim for high availability but the Service is provided "as available" without an uptime commitment or service credits. Web scraping depends on third-party websites that change, rate-limit, or block automated access without notice; extraction results may therefore be incomplete, delayed, or become inaccurate over time. Automated verification and repair mechanisms reduce, but do not eliminate, this risk.
To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that Output Data will be accurate, complete or suitable for any particular decision-making. You are responsible for validating Output Data before relying on it.
10. Liability
To the maximum extent permitted by law, our aggregate liability for all claims arising out of or relating to the Service in any 12-month period shall not exceed 50% of the fees you actually paid to us for the Service in the 3 months preceding the first event giving rise to liability (and for free plans, EUR 100). We are not liable for indirect or consequential loss, loss of profit, loss of data caused by your failure to keep copies, or losses arising from target-website changes, blocking, or content.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for intent or gross negligence.
11. Indemnity
You will defend and indemnify ScrapeFleet against third-party claims, damages and reasonable costs (including legal fees) arising from: (a) your selection of scraping targets or use of Output Data; (b) your breach of Section 5 or the Acceptable Use Policy; (c) personal data you instruct us to process without a valid legal basis. We will notify you promptly of any such claim and allow you to conduct the defence, provided our interests are reasonably protected.
12. Term, suspension and termination
These Terms apply from your first use of the Service and remain in force while you maintain an account. Either party may terminate for convenience with effect from the end of the current billing period. We may terminate immediately for material breach (including Sections 3–6), insolvency, or where required by law. Upon termination we will make Output Data available for export for 30 days, after which Sections 16 (retention) of the Privacy Policy and the deletion terms of the DPA apply. Sections intended to survive (5, 7, 9–11, 13–15) survive termination.
13. Changes to the Service and these Terms
We may update these Terms with at least 30 days' notice by e-mail or in-Service notice for material changes; continued use after the effective date constitutes acceptance. We may modify the Service itself provided its core functionality is not materially reduced for the remainder of a paid period.
14. Confidentiality
Each party will protect the other's non-public information received in connection with the Service with at least reasonable care and use it only to perform under these Terms. This does not restrict disclosures required by law, provided (where lawful) prior notice is given.
15. Governing law and disputes
These Terms are governed by the laws of the Republic of Lithuania, excluding its conflict-of-law rules. Before starting proceedings, the parties will attempt to resolve any dispute amicably within 30 days of written notice. Failing that, the courts of Vilnius, Lithuania have exclusive jurisdiction. Mandatory provisions of data protection law prevail over these Terms to the extent of any conflict.
